End User License Agreement (EULA)

Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for your personal or business purposes.

All rights, title, and interest in and to the Software, including all intellectual property rights, are and will remain the exclusive property of Transcend Technologies, Inc. This Agreement does not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other rights in respect of the Software.

You retain ownership of any content you create using the Software ("User Content").

You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, and process your User Content solely for the purpose of providing the Service to you.

You are solely responsible for backing up your User Content. The Company is not liable for any loss or corruption of User Content.

Access to certain features of the Software may require a paid subscription.

All fees are non-refundable unless otherwise stated in our refund policy.

We reserve the right to modify subscription fees with notice to users.

Failure to pay subscription fees may result in suspension or termination of your access to the Software.

Your use of the Software is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Software, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that the Software will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law:

IN NO EVENT SHALL TRANSCEND TECHNOLOGIES, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

Our total aggregate liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or ONE HUNDRED U.S. DOLLARS (US $100), whichever is less.

You agree to indemnify, defend, and hold harmless Transcend Technologies, Inc. and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Software or violation of this Agreement.

This Agreement is effective until terminated.

We may terminate or suspend your access to the Software at any time, with or without cause, with or without notice.

You may terminate this Agreement by ceasing all use of the Software and deleting all copies in your possession.

Upon termination, all licenses granted to you under this Agreement will immediately cease.

We may update, modify, or discontinue the Software at any time without notice.

We may also update this Agreement from time to time. Continued use of the Software after changes constitutes acceptance of the modified Agreement.

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Delaware.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

This Agreement, together with our Privacy Policy and Terms of Use, constitutes the entire agreement between you and Transcend Technologies, Inc. regarding the use of the Software and supersedes all prior agreements and understandings.
